1. Acceptance of Terms
By accessing and using the Nexulyze website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use our services.
2. Services Offered
Nexulyze is an IT services and software solution provider. We offer services including, but not limited to, custom software development, web app development, mobile app development, UI/UX design, and IT consulting. The specific details of the services provided will be outlined in a separate Statement of Work (SOW) or contract agreed upon by both parties.
3. Client Responsibilities
To ensure successful project delivery, clients are expected to provide timely feedback, necessary access, and required materials. Delays in client responses may affect project timelines and deliverables.
4. Intellectual Property
Unless otherwise agreed upon in writing, all source code, designs, and materials created by Nexulyze during a project remain the intellectual property of the client upon full payment. Pre-existing tools, libraries, or frameworks used by Nexulyze remain our property or the property of their respective open-source owners.
5. Payment Terms
Payment terms schema (such as milestone-based payments and upfront deposits) will be detailed in the project contract. Failure to meet payment deadlines may result in the suspension of services or project delays. All payments are non-refundable unless specified otherwise.
6. Warranties and Liability
While we strive to provide high-quality, bug-free software, Nexulyze does not guarantee that our deliverables will be entirely error-free or uninterrupted. In no event shall Nexulyze be liable for any indirect, incidental, or consequential damages arising out of the use of our services.
7. Confidentiality
Both parties agree to treat all proprietary and sensitive information disclosed during the project as strictly confidential. This obligation survives the termination of any agreement.
8. Governing Law
These terms shall be governed by and defined following the laws of Bangladesh. Nexulyze and yourself irrevocably consent that the courts of Bangladesh shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
